  1. Statutory Representative

Analysis

The statutory representative in Chinese law is the individual who represents a company for purposes of service of process and who may be subject to enhanced corporate veil piercing liability.  In American law, the registered agent system is the uniform method of achieving statutory representation in the United States. Examples of references to statutory representation can be found in materials written by registered agent services. Use of this term in legal documents is essential in order to be unambiguous about the legal results that will occur for officers of a business entity. An important note is that China has not adopted the registered agent system for service of process. See our Article on Chinese law for more details.

China English

Translation Equivalents

  1. Legal Representative

Analysis

In China if you are a government translator, you are not permitted to translate to American English.  When doing translations, take care to delete statements such as “in China, this is known as a legal representative,” in order to avoid creating the fiction that the population is familiar with these English expressions. The primary reason for the existing standardized translation is that the original translation team only had a small library of dictionaries and no internet access or foreign expert access, and thus chose to translate the phrase word-for-word.
