Analysis
In Chinese contract law, an assignment contract is an agreement to assign all of one’s interest in certain property, whereas in Chinese company law, a share purchase agreement uses the same name and has the same meaning, but corporate lawyers use ‘purchase’ and not ‘assignment’ due to convention within the investment industry, where legal terms have different meaning than from general law.
