Analysis
A share purchase agreement is an agreement to purchase the equity of a company. This concept is well-known to American law as a Share Purchase Agreement (see Sample). Typically, it is referred to as an “Agreement” and using the word “Contract” could be confusing. Alternatively, Equity Purchase Agreements (see Sample), are used, but only a small fraction of the time. Thus, direct translation should be avoided.
Correct use of this term in corporate transactions is essential in order to be unambiguous about the nature of the purchase and sale. See our Article on the Chinese law concept for more details.
