The ultimate decision making-authority under Chinese corporate law is typically the shareholders, but under older legal regimes can also refer to other individuals. This concept is not well-known to American law, and there may be circumstances where substituting it with ‘shareholders’ may be appropriate, for example where there is a determination that the company’s authority has been structured as shareholders. Avoid making assumptions, however, as a false assumption could constitute a misrepresentation under securities law.
